In addition to the interests disclosed above, Ashley Head has certain rights to subscribe for additional DataCash shares pursuant to an agreement entered into between Ashley Head and DataCash on 5 May 2006 for the sale and purchase of the whole of the issued share capital of Proc Cyber Services (UK) Limited (the SPA).
Ashley Head is entitled to subscribe for the following additional DataCash Shares pursuant and in accordance with the SPA.

On 5 May 2006, Ashley Head granted Hurlstone Limited an option over such number of ordinary shares as is equal to the lower of: (i) 29.9% of the Company's issued share capital from time to time; and (ii) 82.5% of the Company's shares held by Ashley Head, up to a fixed cap. Based on the issued share capital of the Company of 92,465,258, Hurlstone is entitled to call 27,647,112 Ordinary Shares, being 29.9% of the issued share capital of the Company
