Holdings in Company and Director Shareholding

Following the announcement made yesterday in respect of Completion, the Company has been notified of the following acquisitions of Ordinary Shares pursuant to the Acquisition:

Holdings in Company

Wayne Lloyd (one of the principal Vendors), together with his wife, has acquired an interest in 5,163,529 Ordinary Shares and is now beneficially interested in a total of 5,451,689 Ordinary Shares, representing 5.3 per cent. of the issued share capital of the Company.

Director shareholding

Michael Danson, chief executive officer of the Company, has acquired an interest in 20,862,745

Ordinary Shares and is now beneficially interested in a total of 71,304,325 Ordinary Shares, representing 69.7 per cent. of the issued share capital of the Company.

Share Charge

As set out in the Circular, the £4.5 million loan agreement entered into between Progressive Digital Media (Holdings) Limited ("PDMH") and Progressive Trade Media Limited (the "Loan Agreement") in connection with the Disposal is secured by a guarantee (the "Guarantee") and share charge (the "Share Charge") given by Michael Danson and Wayne Lloyd in favour of PDMH.

The Share Charge given by Michael Danson is in respect of 1,500,000 existing Ordinary Shares (representing approximately 1.47 per cent of the issued share capital of the Company) and provides security for the obligations under the Guarantee.  The obligations of Michael Danson under the Guarantee are subject to a limit, so that the total amount that can be recovered from Michael Danson will be limited to the realised value after taxes from the sale of the charged Ordinary Shares.

Capitalised terms used in the circular to shareholders dated 23 December 2015 (the "Circular") shall, unless the context provides otherwise, have the same meanings in this announcement.
