Pricing of €400 million of New Notes with 6-year maturity under its 1.5 billion EMTN Programme
Globalworth (AIM: GWI) announces that it has successfully priced €400 million new notes due 2026 (the "New Notes") under its 1.5 billion Euro Medium Term Notes Programme (the "Programme") offered pursuant to the base prospectus dated 23 April 2020, as supplemented by a supplement base prospectus dated 17 July 2020. The New Notes are unsecured obligations of the Company, denominated in EUR and carry a fixed interest rate of 2.95 per cent. payable annually beginning on 29 July 2021. The New Notes will be issued at a price of 97.694 per cent. and will constitute the second drawdown under the Programme.
The Company will make an application for the New Notes to be admitted to the Official List of the Irish Stock Exchange plc, trading as Euronext Dublin, and to trading on its regulated market.
The purpose of the contemplated issue of the New Notes, together with the tender offer in respect of the Company's outstanding notes due 2022 (the "Tender Offer") announced on 20 July 2020, is, among other things, to optimise and extend the debt maturity profile of the Company and its subsidiaries. The New Notes are intended to be issued as Green Bonds and the net proceeds from the contemplated issue of the New Notes are intended to be used, among other things, to finance or refinance Eligible Green Projects, as further defined in the Company's green bond framework available at https://www.globalworth.com/investor-relations/bonds.
Deutsche Bank AG, London Branch and J.P. Morgan Securities plc have acted as the Dealer Managers for the Tender Offer and are acting as Joint Global Coordinators and, together with Intesa Sanpaolo S.p.A., Société Générale and UniCredit, as Joint Bookrunners for the contemplated issuance of the New Notes.
