Results of Annual General Meeting
The Board of Directors of the Company is pleased to announce that, at the annual general meeting of the Company held on Tuesday 12 June 2018, all the resolutions relating to both the ordinary business and the special business were duly passed by shareholders. Votes were as follows:
1. IT WAS RESOLVED that, the Company's annual report and audited financial statements for the year ended 31 December, 2017, together with the directors' and auditor's reports thereon, be received and adopted.
(98,001,728 votes cast, all in favour, none against and none withheld).
2. IT WAS RESOLVED that, Ernst & Young LLP be re-appointed as auditor of the Company.
(98,001,728 votes cast, all in favour, none against and none withheld).
3. IT WAS RESOLVED that the Directors be authorised to agree the auditor's remuneration.
(98,001,728 votes cast, all in favour, none against and none withheld).
4. IT WAS RESOLVED that, Mr Geoffrey Miller be re-appointed as a director.
(98,001,728 votes cast, 97,541,389 in favour, 171,000 against and 289,339 withheld).
5. IT WAS RESOLVED that, John Whittle be re-appointed as a director.
(98,001,728 votes cast, 95,565,854 in favour, 2,146,535 against and 289,339 withheld).
6. IT WAS RESOLVED that, Mr Eli Alroy be re-appointed as a director.
(98,001,728 votes cast, all in favour, none against and none withheld).
7. IT WAS RESOLVED that, Ms Andreea Petreanu be re-appointed as a director.

8. IT WAS RESOLVED that, in replacement of all previous authorities, the Company be authorised, in accordance with section 315(1)(a) of The Companies (Guernsey) Law, 2008, as amended (the "Law"), to make market acquisitions (within the meaning of section 316 of the Law) of ordinary shares in the capital of the Company on the terms set out in the notice of the AGM.

9. IT WAS RESOLVED that, the Directors be authorised to exercise an Acquisition Share Authority in respect of 9,935,433 Shares on the terms set out in the notice of the AGM.

10. IT WAS RESOLVED that, the Directors be authorised to issue up to 88,314,958 Shares on the terms set out in the notice of the AGM

11. IT WAS RESOLVED that, the provisions relating to pre-emption rights enshrined in Article 5 of the Articles be disapplied in respect of up to 9,935,433 Shares, provided that this authority shall be limited by the terms set out in the notice of the AGM.
