GOLDEN PROSPECT PRECIOUS METALS LIMITED

Results of Annual General Meeting and

separate Subscription Shareholders Meeting

Golden Prospect Precious Metals Limited (the "Company") announces that its Annual General Meeting was held at 2.30 p.m. today.  All resolutions were passed as set out in the notice of Meeting dated 8 April 2013.

The Company also announces that the separate class meeting of the holders of subscription shares of no par value in the Company ("Subscription Shares") was held at 2.45 p.m. today.  Again, all resolutions were passed as set out in the notice of such calls meeting dated 8 April 2013.

As a result of resolution no. 3 being passed at the separate class meeting of the holders of Subscription Shares, the Company will no longer be sending out quarterly reminder notices of Subscription Rights in respect of Subscription Shares, except in relation to the Final Subscription Date of 28 November 2014 (although the Directors nevertheless reserve the right to send out reminder notices voluntarily as and when they think fit to do so). The next Subscription Date is 31 May 2013.
