GoldStone (AIM: GRL), the AIM quoted company focused on gold in West and Central Africa, is pleased to announce the appointments of Emma Priestley, current interim Chief Executive Officer, as Executive Director and Chief Executive Officer and Andrew Bell as a Non-executive Director of the Company with immediate effect.
Emma Priestley specialises in Africa and emerging market sectors, developing and advising companies. Emma is currently a director of Stratex International Plc (AIM: STI) as business development and market liaison, in conjunction with which she is an adviser with African Resource Capital focussed on investments on the African Continent. Previously, in this capacity, until its successful takeover, she was an Executive Director of Lonrho Plc, focussing on opportunities in agriculture, infrastructure, logistics, and natural resources, and attracting investors to them, both in equity and structured finance. Emma has worked with GVA Grimley and IMC Mackay & Schnellmann, investment bank CSFB and advisers VSA Resources and Ambrian Partners, where she worked as a corporate broker and financial adviser. Emma is a graduate of Camborne School of Mines, is a chartered Mining Engineer and Chartered Mineral Surveyor.
Andrew Bell began his business career as an investment analyst at Morgan Grenfell & Co Ltd specialising in the mining and oil and gas sectors. After experience as a Far Eastern unit trust manager and pension fund manager at Grieveson Grant & Co and elsewhere, he held various positions in corporate finance and in trading and property development companies. Since 2004, he has served as Executive Chairman of Regency Mines plc (AIM: RGM), since 2005 as Chairman and CEO of Red Rock Resources plc (AIM: RRR) and since 2006 as Chairman of Greatland Gold plc (AIM: GGP).

Ms Priestley is a director of Stratex International Plc which has 33.45 per cent. interest in the currently issued share capital of the Company. Ms Priestley's former married name was de Borchgrave d'Altena.

Mr Bell is currently interested in 1,196,834 shares in the Company representing 1.92 per cent. of the issued share capital of the Company. In addition, Mr Bell is Chairman and a shareholder of Red Rock Resources Plc, which holds 6,006,587 shares in the Company, representing appointed 9.64 per cent. of the issued share capital of the Company. Mr Bell holds, directly and indirectly, an aggregate interest in 11,854,991 shares in Red Rock Resources Plc, representing 3.02 per cent. of the issued share capital of that company. Accordingly, Mr Bell is directly and indirectly interested in 7,203,421 shares in the Company representing approximately 11.57 per cent. of the Company's issued share capital.
Mr Bell was a Director of General Mining Limited, a holding company established in 2004. The company had no profits. In July 2011, the company was wound-up under a winding-up order due to unpaid fines to HM Revenue and Customs.
In 1993, following a fall in the value of properties held as a security for its loans, The Housing Loan Corporation PLC, a company of which Mr Bell was the Non-executive Chairman, entered administrative receivership. The company was dissolved in 2001. No criticism of the directors was made.
Mr Bell entered into an individual voluntary arrangement ("IVA") with his creditors in 1993 (High Court No. 709 of 1993). Mr Bell had made or was guarantor of borrowings secured on properties, including development properties. Following a substantial rise in interest rates and decline in capital values at the beginning of the 1990s, he was left with debts he could not meet and was advised to enter into an IVA. The IVA concluded on 31 December 1997.
There is no other information that is required to be disclosed pursuant to paragraph (g) of Schedule Two of the AIM Rules.
