("Good Energy" or "the Company")
Issue of Shares
Good Energy announces that it has issued 291,137 new ordinary shares of 5p each in the Company ("Ordinary Shares") to its Good Energy Group Employee Benefit Trust (the "EBT") for a consideration of 239.5p per share (being the mid-market closing price on Thursday 23rd April 2015). The new Ordinary Shares have been issued to enable the EBT to satisfy share option obligations with regard to vesting schedules under the Company's share option scheme.
Application has been made for the 291,137 Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and trading in the Ordinary Shares will commence at 8:00 a.m. on 29 April 2015.
The Ordinary Shares will rank pari passu in all respects with the other ordinary shares currently in issue.
Following Admission, the number of Ordinary Shares, with one voting right each in the Company, will be 14,959,033. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, their shareholding in the Company.
