DIRECTORS' SHAREHOLDINGS

The Company received notification on 15th January 2009 of the following transactions in which Mr. J. W. Goodwin and Mr R S Goodwin, directors of the Company, are interested.

J. W. Goodwin

The sale of 15,000 ordinary shares in the capital of the Company on 14th January 2009 at a price of £10.10 per share. The shares were held by J. W. Goodwin and E. M. Goodwin for the account of the J. W. Goodwin Children's Trust.

R. S. Goodwin

The sale of 15,000 ordinary shares in the capital of the Company on 14th January 2009 at a price of £10.10 per share. The shares were held in Mr. Goodwin's own name.

Mr. J. W. Goodwin, Mr R. S. Goodwin and their sons M. S. Goodwin (also a director of Goodwin PLC), S. R. Goodwin and B. R. E. Goodwin are acting in concert (and deemed to be so). Their total beneficial and non-beneficial holdings following these transactions are as detailed below:
