GOODWIN PLC ('the Company')

DIRECTOR'S SHAREHOLDING

The Company has today received notification that the personal holding of Mr R S
Goodwin, a director of the Company, has increased. A purchase was made on behalf
of his wife on 4th April 2005 of 554 ordinary shares of 10P each in me Company
('Shares') at 324.45p per Share, increasing his personal holding to 276,182
Shares, representing 3.84% of the Company's issued ordinary share capital.

Mr RS Goodwin is deemed to be acting in concert with Mr J W Goodwin, a director
of the Company, and their total beneficial and non-beneficial holdings following
this correction are as detailed below:
