Grafton Group plc ('the company') has been informed on 29 July 2003 by Bank of
Ireland Asset Management Limited of 26 Fitzwilliam Place, Dublin 2 that it had
an interest in 23,218,339 Grafton Units representing 10.96 per cent of the
issued share capital of the company.



Of these shares 21,841,158 Units are registered in the name of Bank of Ireland
Nominees Limited, 1,018,249 units are registered in the name of Nortrust
Nominees and 358,932 Units are registered in the name of Citibank Nominees
Limited as registered owners only, on behalf of a range of clients who are each
the beneficial owner of a portion of the shareholding.
