Notification of Shareholding under Chapter 2 of Part IV of the Companies Act,

Grafton Group plc ('the Company') has been informed on 20 December 2007 by Bank
of Ireland Asset Management Limited of 40 Mespil Road, Dublin 4 that it has an
interest in 18,541,456 Grafton Units representing 7.99 per cent of the issued
share capital of the Company.



Of this holding,  187,485 units are registered in the nominee company name of
BNY Custodial Nominees Limited,  836,535 units are registered in the name of
Mellon Nominees Limited,  562,372 units are registered in the name of Nortrust
Nominees Limited,  483,064 units are registered in the name of ROY Nominees
Limited and 16,472,000 units are registered in the name of Bank of Ireland
Nominees Limited, as registered owner only on behalf of a range of clients each
of whom are the beneficial owner of a portion of the holding.
