Notification of Shareholding under

Chapter 2 of Part IV of the Companies Act, 1990







Grafton Group plc ('the company') has been informed on 26 January 2005 by Bank
of Ireland Asset Management Limited of 40 Mespil Road, Dublin 4 that it had an
interest in 25,259,097 Grafton Units representing 10.82 per cent of the issued
share capital of the company.



Of these shares 23,930,715 Units are registered in the name of Bank of Ireland
Nominees Limited, 974,467 units are registered in the name of Nortrust Nominees,
264,574 Units are registered in the name of Citibank Nominees Limited and 89,341
are registered in the name of Mellon Nominees Limited as registered owners only,
on behalf of a range of clients who are each the beneficial owner of a portion
of the shareholding.
