On August 29, 2022GranTierraEnergyInc.("GranTierra")announced a normalcourseissuerbid (the "NCIB")throughthefacilities of the TorontoStockExchange("TSX"). The CompanyreceivedregulatoryapprovalfromtheTSX on August 30, 2022 to commence the 2022NCIB. Pursuant to the NCIB,GranTierramay,for a oneyearperiod,purchase for cancellation or holdtosatisfyawardsgranted under GranTierra's2007EquityIncentivePlan(the "2007 EquityIncentivePlan") up to 36,033,969of its shares of commonstock at prevailingmarketprices at the timeofpurchase.TheNCIBcommencedonSeptember 1, 2022 and willexpire on August31, 2023, orearlier if the10.00%sharemaximum is reached.Thepurpose of theNCIB is to reduce the sharecapitalofGranTierra or to satisfyawardsgrantedunder the 2007 EquityIncentivePlan.
