Change of accounting reference date and update on transaction
GruppeM today announces, in accordance with Rule 17 of the AIM Rules, that it

GruppeM is in the final stages of agreeing terms for an acquisition within the

The Directors expect to announce terms for the proposed acquisition, which would
represent a reverse takeover under the AIM Rules and be subject to
shareholders'approval, by the end of September 2006.
The Company expects that, on publication of an admission document in respect of
the reverse takeover, suspension of trading in the ordinary shares on AIM will
be lifted.
