GreenSquareAccord Limited (the Issuer) has issued £400,000,000 5.250 per cent. Secured Sustainability Bonds due 2047 (the Bonds).

The terms of the Bonds includes a requirement for the Issuer to provide to M&G Trustee Company Limited (the Bond Trustee) a copy of its own and its consolidated financial statements for each financial year within 180 days of the end of such financial year.  The Issuer has been informed by its auditors, BDO LLP (BDO), that it will be unable to finalise its audit of the Issuer's financial statements for its financial year ended 31 March 2023 (the 2023 Financial Statements) prior to 27 September 2023, due to health issues with respect to key staff members and the internal processes at BDO.

On the basis that the cause of delay is due to circumstances which are outside of the control of the Issuer and the Issuer has confirmed that, to the best of its knowledge and belief, there is no reason to believe that the 2023 Financial Statements will be subject to any audit qualification and the draft 2023 Financial Statements do not contain any non-public, price sensitive information about the Issuer, the Issuer has sought, and obtained, the consent of the Bond Trustee to postpone such requirement to 31 October 2023.
