On the 4 November 2005, Greggs plc (the "Company") was notified that on 4
November 2005, the following transactions took place:
1. Ann Simpson, the spouse of Malcolm Simpson (a director of the
Company) transferred 15,714 ordinary shares of 20p each (0.13% of the issued
share capital) to Malcolm Simpson by way of gift.
2. Malcolm Simpson sold 27,418 ordinary shares of 20p each at a price of
£46.00 per share and 7,041 ordinary shares of 20p each at a price of £46.15 per
share (0.28% of the issued share capital).
3. Ann Simpson sold 7,213 ordinary shares of 20p each at a price of
£46.15 per share (0.006 % of the issued share capital).
4. Malcolm Simpson and Ann Simpson (as joint holders) sold 5,601
ordinary shares of 20p each at a price of £46.00 per share (0.005% of the issued
share capital).
The total beneficial and non-beneficial holdings of Malcolm Simpson (excluding
interests in share options and a potential interest in shares held in the
employee benefit trust) following this notification are:-
