On the 17th December 2001, Greggs plc ('the Company') was notified that on
the 14th December 2001, Malcolm Simpson, a director of the Company, purchased
239 ordinary shares of 20p each in the Company (0.002% of the issued share
capital) at £29.90 per share and 121 ordinary shares of 20p each (0.001% of
the issued share capital) at £30.19 per share pursuant to Malcolm Simpson's
employee share scheme.
The Company was also notified on the 17th December 2001, that on the 14th
December 2001, Anne Simpson, spouse of Malcolm Simpson, purchased 245
ordinary shares of 20p each (0.002% of the issued share capital) at £29.90 per
share.
The total beneficial and non-beneficial holdings of Malcolm Simpson (excluding
interests in share options) following this notification are;-

(Malcolm Simpson has a potential benefit interest in the 214,655 shares held in
the Employee Benefit Trust of which he is a Trustee shown above as part of his
