On the 3 April 2003 Greggs plc was notified that:
(a) on the 31 March 2003, Malcolm Simpson, a director of the Company
exercised a share option in the Company, and acquired 2,000 ordinary
shares of 20p each in the Company at a price of £13.55 per share (0.016%
of the issued share capital).
(b) on 2 April 2003, Malcolm Simpson disposed of 2,000 ordinary
shares of 20p each in the Company at a price of £29.31 per share.
(c) on the 3 April 2003 that on the 31 March 2003, Mike Darrington,
a director of the Company exercised a share option in the Company and
acquired 2,500 ordinary shares of 20p each in the Company at a price of
£13.55 per share (0.021% of the issued share capital).
(d) on the 2 April 2003, Mike Darrington disposed of 2,500 ordinary
shares of 20p each in the Company at a price of £29.31 per share.
(e) on 2 April 2003, the trustees of the Greggs Employee Benefit
Trust, including Ian Gregg, Michael Darrington and Malcolm Simpson
(directors of the Company), acquired 20,886 ordinary shares of 20p each
in the Company at a price of £29.35 per share (0.17% of the issued share
capital).
After the acquisition, the trustees of the Greggs Employment Benefit Trust hold
235,323 ordinary shares in the Company (1.95% of the issued share capital).
The total beneficial and non-beneficial holdings of Malcolm Simpson and Mike
Darrington (excluding interests on share options) as at 3 April 2003 following
this notification are:-

Mike Darrington 70,440 (0.58%) 235,323 (1.95%)
(Malcolm Simpson and Mike Darrington each have a potential interest in the

shown above as part of their non-beneficial interests).
