On the 7 April 2003 Greggs plc ("the Company") was notified that on, 6
April 2003 Ian Davis Gregg, a director of the Company, disposed of 45,500
ordinary shares of 20p each (0.38% of the issued share capital) in the Company
by way of gift. 33,000 of the aforementioned shares in the Company have been
transferred to Jane Gregg, spouse of Ian Gregg.

The total beneficial and non-beneficial holdings of Ian Gregg following this
notification are as follows
