On 28th May 2004 Greggs PLC ("the Company") was notified that on 27th May 2004,
the trustees of the Greggs Employee Benefit Trust, including Ian Gregg, Sir
Michael Darrington and Malcolm Simpson (directors of the Company), acquired
6,424 ordinary shares of 20p each in the company (0.053% of the issued shares)
at £33.70 per share.
After the acquisition, the trustees of the Employment Benefit Trust hold 292,163
ordinary shares in the Company (2.41% of the issued shares)
The total beneficial and non-beneficial holdings of each relevant director
(excluding interests in share options) following this notification are as
