On 23rd September 1999, Ian Davis Gregg, Michael John Darrington, Malcolm
Simpson (Directors of the Company) and Ian Denis Neil Edgeworth, (as trustees of
the Greggs plc Employee Benefit Trust) transferred 4000 ordinary shares of 20p
(0.03% of the issued class) to an employee at a price of £11.34 each on the
exercise of an option held under the terms of the Company's Executive Share
Option Scheme.
Following the transfer of these shares, the said trust now holds one hundred and
eighteen thousand one hundred and fifty five shares (118,155) ordinary shares of
20p each in the Company (representing 0.99% of the issued class).
Following this notification, the interests of the Directors whose holdings have
changed as a result of the above event are as follows:-
Ian Gregg: (a) 333,155 non beneficial (2.79% of the issued class); and
(b) 257,500 beneficial (2.16% of the issued class)
Michael Darrington: (a) 124,665 non beneficial (1.04% of the issued class); and
(b) 64,122 beneficial (0.54% of the issued class)
Malcolm Simpson: (a) 146,256 non beneficial (1.23% of the issued class); and
(b) 69,455 beneficial (0.58%) of the issued class)
In addition, each of the Executive Directors has a potential beneficial interest
in the shares held in the Employee Benefit Trust.
