Gresham Computing plc announces that at the Annual General Meeting held on 28
May 2004 all resolutions were passed on a show of hands.

In a decision communicated as part of our preliminary results for the year ended
31 December 2003, announced on 20 April 2004, Sid Green duly retired from the
Board following the Annual General Meeting held on 28 May 2004 and Alan Howarth
took on the role of Chairman.
