Gresham Computing plc
('Gresham' or 'the Company')
The Company announces that following the exercise of SAYE share options, 78,119
new ordinary shares of 5 pence each have been issued today, taking the total
number of outstanding ordinary shares of 5 pence each to 50,227,217.
The new ordinary shares will rank pari passu in all respects with the existing
issued shares. Application has been made to the UK Listing Authority to admit
the new ordinary shares. Trading in the new shares is expected to commence on
15 July 2005.
The SAYE option exercise described above included the following transactions
notified by directors of the Company:
Mr D Osman, operations director, exercised 44,186 SAYE share options at a price
of 21.5 pence per share representing 0.09% of the outstanding share capital. As
a result, Mr Osman has increased his beneficial interest in the ordinary shares
of the Company from 56,342 to 100,528, representing 0.20% of the outstanding
share capital.
Mr SW Purchase, commercial director, exercised 12,548 SAYE share options at a
price of 21.5 pence per share representing 0.02% of the outstanding share
capital. As a result, Mr Purchase has increased his beneficial interest in the
ordinary shares of the Company from 4,034,591 to 4,047,139, representing 8.06%
of the outstanding share capital.
This notification by the above directors relates to a transaction notified to
the Company in accordance with DR 3.1.2R of the Disclosure Rules and section 324
(as extended by section 328) of the Companies Act 1985.
