GRESHAM COMPUTING PLC

DIRECTORS' SHAREHOLDINGS

Gresham Computing plc announces that today as part of a grant of options under
the group's Save As You Earn (SAYE) Scheme options were granted to the following
directors:

These options form part of a total grant of 547,711 options to 34 employees
under the SAYE scheme.


In addition on 24 May 2002, J E Aves purchased 10,000 ordinary shares at a price
of 36.5 pence per share.  These shares represent the entire holding of J E Aves
and 0.02% of the ordinary shares.



Following these events the interests of the directors in ordinary shares of 5p
each and options over ordinary shares are as follows:
