                           Director's Share Dealings


The Company announces that on 28 June 2002, 4,448,153 ordinary shares of 5 pence
each in the Company previously held in a beneficial trust for Mr S J Green were
transferred into his own name.


As a result of this transfer Mr S J Green's beneficial holding in the Company
remains unchanged at 5,625,491 ordinary shares representing 11.97% of the
outstanding share capital.  Following the transfer 5,275,491 of these shares are
held in the name of Mr S J Green and 350,000 shares under Rathbone Trustees
Jersey Limited.  In addition, as previously notified, Mr S J Green has
outstanding options over 350,000 shares of his beneficial holdings granted to Mr
D Osman (100,000) and Mr A J S Walton-Green (250,000).
