                             Directors' Interests

I give below details of changes in directors' interests in the Ordinary Shares
of GlaxoSmithKline plc.

22nd     The Administrators of the SmithKline Beecham US Retirement Savings
December Plan ('the Plan') notified SmithKline Beecham plc on the 22nd December
2000     2000, that as a result of movement in the fund on the 21st and 22nd
         December 2000, the number of Ordinary share ADRs held by the fund had
         increased from 15,386,769 to 15,503,215 at an average price of
         $61.8750.

A Director of GlaxoSmithKline plc, Dr J P Garnier, is a potential beneficiary
under the Plan and is therefore deemed to have an interest in all the shares
of the fund by virtue of the provisions of the Companies Act 1985.
