I give below details of changes in interests in the Ordinary Shares of
GlaxoSmithKline plc in respect of the under-mentioned directors:-
Sir     Exercised a nominal cost option on 23rd February 2001 to acquire
Richard 147,344 shares in the Company, which had vested under the 1998, 1999
Sykes   and 2000 Glaxo Wellcome Long Term Incentive Plan and also exercised an
        option over 248 shares granted at £13.27 per share on the 1st October
        1999 under the Glaxo Wellcome UK SAYE Option Scheme.
        Sir Richard sold 183,892 Ordinary Shares in the Company at a price of £
        19.30 per share. on 23rd February 2001

Mr J D  The transfer on 23rd February 2001 from a trust of which Mr Coombe is a
Coombe  trustee (The J D Coombe 1999/1 Discretionary Trust) of a total of 2,535
        shares in GlaxoSmithKline plc to three beneficiaries under the Trust,
        namely Mr Coombe's three adult daughters.
        The sale on 23rd February 2001 by a trust of which Mr Coombe is a
        trustee (The JD Coombe 1999/1 Discretionary Trust) of 361 shares in
        GlaxoSmithKline plc at a price of £19.20 per share.
        The sale on 23rd February 2001 by a trust of which Mr Coombe is a
        trustee (The G A Coombe 1999/1 Discretionary Trust) of 599 shares in
        GlaxoSmithKline plc at a price of £19.20 per share.


The Company was advised of these transactions on 26th February 2001.
