(ADS) of GlaxoSmithKline plc in respect of the under-mentioned Director:-



Dr J-P  Exercise of options over 77,370 ADS on 27 July 2001 granted on 24
Garnier November 1993 under the SmithKline Beecham 1989 Unapproved ADS Share
        Option Scheme at a price of $12.892091 per ADS and the sale of all
        resultant ADS at a price of $57.1898 per ADS.



The Company was advised of this transaction on 30 July 2001.
