                             Directors' Interests


I give below details of changes in directors' interests in the Ordinary Shares
of GlaxoSmithKline plc.



31 August 2001    The Administrators of the SmithKline Beecham Employee Share 
                  Ownership Trust ('the ESOT') notified the Company on the 3 
                  September 2001, that on 31 August 2001, 112,150 Ordinary 
                  shares had been purchased by the ESOT at an average price of 
                  £18.364629.

31 August 2001    The Administrators of the SmithKline Beecham Employee Share 
                  Ownership Trust ('the ESOT') notified the Company on the 3 
                  September 2001, that 53,005 Ordinary shares had been 
                  transferred from the ESOT to participants of the SmithKline 
                  Beecham 1991 Share Option Plan.


The ESOT is a discretionary fund of which all employees or former employees of
SmithKline Beecham plc and its subsidiaries are potential beneficiaries. One
of the Company's directors, Dr J P Garnier is interested in the shares held in
the fund from time to time in the same way as other employees or former
employees of SmithKline Beecham plc and its subsidiaries.
