                             Directors' Interests


I give below details of changes in directors' interests in the Ordinary Shares
of GlaxoSmithKline plc.


5     The Trustees of the SmithKline Beecham Employee Share Ownership Trust
July  ('the ESOT') purchased 372 Ordinary Shares at a price of £19.82 for
2001  participants of the SmithKline Beecham Bonus Investment Plan following
      reinvestment of the dividend paid to shareholders on 5 July 2001.

11    The Trustees of the SmithKline Beecham Employee Share Ownership Trust
July  ('the ESOT') purchased 784 Ordinary Shares at a price of £20.09 for
2001  participants of the SmithKline Beecham Bonus Investment Plan following
      reinvestment of the dividend paid to shareholders on 5 July 2001.

The company was informed of these transactions on 16 July 2001.

The ESOT is a discretionary fund of which all employees or former employees of
SmithKline Beecham plc and its subsidiaries are potential beneficiaries. One
of the Company's directors, Dr J P Garnier is therefore, interested in the
shares held in the fund from time to time in the same way as other employees
or former employees of SmithKline Beecham plc and its subsidiaries.
