On 10 December 2007, Epicure Qatar Equity Opportunities plc ('EQEO') announced
the placing of 76,172,523 new ordinary shares in EQEO ('the Placing'). The
Company wishes to make the following announcement.
As part of the Placing, Marshall Wace LLP subscribed for 8,952,552 new ordinary
shares at $1.1170 per ordinary share. Prior to the Placing, Marshall Wace LLP
was the holder of 25,000,000 ordinary shares in EQEO, equating to 14.59 per
cent. of EQEO's issued share capital.
As such, under the AIM Rules for Companies, Marshall Wace LLP is deemed to be a
related party.
The Directors of EQEO consider, having consulted with Panmure Gordon (UK)
Limited, its nominated adviser, that the terms of the transaction (namely the
placing of shares as described above to Marshall Wace LLP) are fair and
reasonable insofar as its shareholders are concerned.
