                AWARDS UNDER THE GUS PLC PERFORMANCE SHARE PLAN

The Company also made awards on 6 June 2002 to the above directors under the
terms of The GUS plc Performance Share Plan by reference to a price of 653p per
share. The awards are subject to performance conditions and the maximum numbers
of shares which could vest in the case of each of these directors in respect of
this award are as follows:-
