Halfords Group plc (the 'Company') - Notification of Transactions of Directors,
Persons Discharging Managerial Responsibility or Connected Persons
Performance Share Plan
The Company received notification on 26 July 2007 that on 12 July 2007 awards
under the Halfords 2005 Performance Share Plan ('PSP') were made to the
following Directors:
Ian McLeod: 105,721 ordinary shares
Nick Wharton: 54,726 ordinary shares
Under the PSP, awards are in the form of a contingent share award, where a
participant will receive nil cost ordinary shares in the Company subject to
performance conditions being met in respect of Earnings per Share and Total
Shareholder Return criteria over a three year performance period, so that some
or all of the award shares become vested award shares. The awards are also
subject to continuing employment. The calculation of the awards was made at a
share price of 402.0p.
