DIRECTORS' SHARE TRANSACTIONS
At a Meeting of the Share Options Committee of the Board of Halma p.l.c. held on
15 July 2003, a total of 166,929 additional ordinary shares in the Company were
allotted under the provisions of the Company's Share Option Schemes to Mr S R
O'Shea, Mr K J Thompson and Mr K J Roy, Directors of the Company, following the
exercise of share options, as follows:
142,398 ordinary shares were allotted to Mr S R O'Shea. The exercise prices
were as follows:
33,421 shares 109.49p per share
108,977 shares 128.81p per share
To finance the exercise of these share options Mr O'Shea sold 126,805 shares on
15 July 2003 at 140p per share.
After the above transactions, the beneficial holding of Mr O'Shea in the
ordinary shares of Halma p.l.c. increases to 258,075 shares (0.071% of the
issued ordinary share capital).
8,354 ordinary shares were allotted to Mr K J Thompson. The exercise prices were
as follows:
4,176 shares 115.30p per share
4,178 shares 98.06p per share
To finance the exercise of these share options Mr Thompson sold 6,391 shares on
15 July 2003 at 140p per share.
After the above transactions, the beneficial holding of Mr Thompson, including
family interests, in the ordinary shares of Halma p.l.c. increases to 49,749
shares (0.014% of the issued ordinary share capital).
16,177 ordinary shares were allotted to Mr K J Roy. The exercise price was
126.56p per share.
Following the share option exercise Mr Roy, together with his wife, sold 16,177
shares on 15 July 2003 at 140p per share.
After the above transactions, the beneficial holding of Mr Roy, including family
interests, in the ordinary shares of Halma p.l.c. is 744,587 shares (0.203% of
the issued ordinary share capital).
Following the issue of ordinary shares as a result of the share options
exercised on 15 July 2003, the issued ordinary share capital of the Company is
increased to 366,020,512 shares.
