                       DISCLOSURE OF INTEREST IN SHARES


Halma p.l.c. has received notification from Harris Associates L.P. that
following the sale of 733,400 shares on 5 June 2006, accounts managed by Harris
Associates L.P. became the beneficial owners of 14,636,500 ordinary shares of
the Company.  This represents 3.96% of the issued share capital of the Company
and a decrease below the 4% substantial shareholder filing threshold.

Harris Associates L.P. confirm that all holdings in the ordinary shares of the
Company are for investment purposes only.
