                    DISCLOSURE OF INTEREST IN SHARES


Halma p.l.c. has received notification from Harris Associates L.P. that
following the sale of 1,350,000 shares on 27 June 2006, accounts managed by
Harris Associates L.P. became the beneficial owners of 10,559,000 ordinary
shares of the Company.  This represents 2.86% of the issued share capital of the
Company and a decrease below the 3% substantial shareholder filing threshold.


Harris Associates L.P. confirm that all holdings in the ordinary shares of the
Company are for investment purposes only.
