VOTING RIGHTS AND CAPITAL
In conformity with the Transparency Directive's transitional provision 6 and
further to the Company's announcement on 18 December 2006, Halma p.l.c. confirms
that its issued share capital has increased and now consists of 373,075,550
ordinary shares with voting rights. The increase results from the issue of
shares to meet the exercise of options under the 1999 Company Share Option Plan.
Halma p.l.c. holds 628,635 shares in Treasury.
Therefore the total number of voting rights in Halma p.l.c. is 372,446,915.
The above figure of 372,446,915 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Halma p.l.c. under the
FSA's Disclosure and Transparency Rules.
