                            VOTING RIGHTS AND CAPITAL


In accordance with the Financial Services Authority's Disclosure and
Transparency Rules, Halma p.l.c ('Halma') confirms that the total number of
ordinary 10 pence shares of Halma in issue at the close of business on 31 March
2008 remains at 374,458,498.


However, the number of shares held in treasury has increased to 1,563,813.

Therefore the total number of voting rights in Halma is 372,894,685.


The above figure of 372,894,685 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Halma under the FSA's
Disclosure and Transparency Rules.
