                       TRANSFER OF SHARES HELD IN TREASURY



Halma p.l.c. announces that it has today transferred 8,365 ordinary shares held
by the Company in Treasury to a former employee of the Halma Group in
satisfaction of his award under the Company's Performance Share Plan.


Following the above transfer, the Company holds 191,635 ordinary shares in
Treasury.  The total number of ordinary shares in issue (excluding Treasury
shares) is 369,302,524.
