Director Shareholding

On Thursday 17 May 2001, the Trustees of the Hammerson Employee Share
Ownership Plan notified the Company that on 15 May 2001 they had acquired
300,000 ordinary shares of 25p each at a price of 502p per share. The Trust
now holds a total of 700,000 shares.
 
By virtue of their inclusion within the Hammerson Deferred Share Plan, under
which they are eligible to receive awards of shares by way of nil cost
options, the following Executive Directors of Hammerson plc are deemed to be
interested in these shares acquired by the Trust:
