On 3 April 2002 allocations of shares by way of the grant of nil cost options
were made, in accordance with the terms of the Deferred Share Plan, to executive
directors and senior executives. These options may be exercised after a period
of three years with the number of shares over which such options can be
exercised being dependent on the level of achievement of financial performance
targets over that period. The maximum number of shares over which an option can
be exercised in respect of the grant made on 3 April 2002 and the total maximum
number of shares in respect of this and the previous grants made in 2000 and
2001 by the following Executive Directors are as follow:
