Directors' Interests in shares

On 11 May 2004 allocations of shares by way of the grant of nil cost options
were made, in accordance with the terms of the Deferred Share Plan, to executive
directors and senior executives of Hammerson plc. These options may be exercised
after a period of three years with the number of shares over which such options
can be exercised being dependent on the level of achievement of performance
targets over that period. The maximum number of shares over which an option can
be exercised in respect of the grant made on 11 May 2004 and the total maximum
number of shares in respect of this and previous grants made in 2002 and 2003 by
the following Executive Directors are as follows:
