On 7 June 2000 the Company announced that its Executive
Directors, by virtue of their potential inclusion in the
Hammerson 2000 Deferred Share Plan, were deemed to be
interested in 400,000 ordinary shares in the Company
acquired on 30 May 2000 at 415p per share by the Trustees of
the Hammerson Employee Share Ownership Plan.
On 15 June 2000 the Remuneration Committee approved
allocations of shares by way of the grant of nil cost
options, in accordance with the terms of the Deferred Share
Plan, to executive directors and senior executives which may
be exercised after a period of three years. The number of
shares over which such options can be exercised is dependent
on the level of achievement of financial performance targets
over that period. The maximum number of shares over which
an option can be exercised by the following Executive
Directors is as follows:

G Devaux 40,060
S R Melliss 46,698
These allocations are in addition to existing holdings under
the Company's Share Option Schemes as follows:
