Directors' Interests in Shares

In  accordance with the requirements of the Listing  Agreement
we hereby notify you that we have received notification of the
following  transaction in the shares of  Hammerson  plc  by  a
Director of the Company in respect of his beneficial holdings.

Mr  J  A  Bywater  acquired a further beneficial  interest  in
options  over  3,250 ordinary shares of 25p each arising  from
the  acceptance of an invitation to take up shares  under  the
Hammerson plc 1998 Savings Related Share Option Scheme -  2000
invitation.  The options were granted at an exercise price  of
298 pence on 14 April 2000.  The Savings Contract is for three
years.

These beneficial interest in the shares of the Company are  in
addition  to  any  beneficial interests  previously  disclosed
under the Company's Executive Share Option Schemes.
