Directors' Notification of Dealing in Shares

On Tuesday 30 May 2000, the Trustees of the Hammerson Employee Share Ownership
Plan notified the Company that on 30 May 2000 they had acquired 400,000
ordinary shares of 25p each at a price of 415p per share. The Trust now holds
a total of 400,000 shares.

By virtue of their inclusion within the Hammerson Deferred Share Plan, under
which they are eligible to receive awards of shares by way of nil cost
options, the following Executive Directors of Hammerson plc are deemed to be
interested in these shares acquired by the Trust:
