Results of Placing

 

Hammerson PLC ("Hammerson" or the "Company") is pleased to announce the successful completion of the placing announced earlier today (the "Placing").

A total of 71,297,452 new ordinary shares in the Company (the "Placing Shares") have been placed by Deutsche Bank AG, London Branch ("Deutsche Bank") and J.P. Morgan Securities plc, which conducts its UK investment banking business as J.P. Morgan Cazenove ("J.P. Morgan Cazenove") at a price of 560 pence per Placing Share, raising proceeds of approximately £399.3 million (before expenses).

Application will be made for the Placing Shares to be admitted to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the main market of the London Stock Exchange plc (together, "Admission"). It is expected that Admission will take place at 8.00 a.m. on 30 September 2014. The Placing is conditional upon, amongst other things, Admission becoming effective and upon the Placing Agreement not being terminated.

Following Admission the total number of shares in issue in the Company will be 784,271,986.

The Placing Shares, when issued, will be fully paid and will rank pari passu in all respects with the existing ordinary shares of the Company including the right to receive all dividends and other distributions declared, made or paid after the date of issue of the Placing Shares.

David Atkins, Hammerson Chief Executive said: "The success of today's Placing is clear recognition of shareholders' confidence in both our strategy and our longer term growth ambitions. These proceeds will be used to acquire the remaining interest in Highcross, our major shopping centre in Leicester and to invest in the fast-growing European outlet sector and our extensive development pipeline which will all drive future income streams and create further value for our shareholders."
