Hansard Global Plc ('Hansard' or the 'Company')
Hansard has today received notification that the Polonsky Foundation has
disposed of a total of 1,100,000 ordinary shares in the Company. The shares were
placed with institutional investors by the Company's broker, Panmure Gordon, at
a price of 225p per share.
Hansard has also received today notice from the Polonsky Foundation that it
intends shortly to dispose of a total of 5,195,000 ordinary shares by way of
donations to various charitable organisations.
Following the planned disposals, the Polonsky Foundation will be interested
in 7,286,888 shares or 5.31% of the Company's issued share capital.
Dr Leonard Polonsky, the Company's Executive Chairman, has notified the Company
of the disposal of 1,575,000 shares by way of gifts to certain individuals.
Following the disposal, Dr. Polonsky is interested in 57,701,073 shares
or 42.03% of the Company's issued share capital.
The Company's Sponsor, Lazard & Co., Limited, and its broker, Panmure Gordon
(UK) Limited, have both given their consent to release the Polonsky Foundation
and Dr Polonsky from the lock-in arrangements entered into at the time of the
IPO in respect of the disposals and planned disposals described
above. Pursuant to this consent, the Polonsky Foundation and Dr. Polonsky have
undertaken to use reasonable endeavours to ensure that the transferees of these
shares (excluding institutional investors) adopt the principles of dealing
through Panmure Gordon for the remaining time period covered by the orderly
market agreements entered into at the time of the IPO. For the individual
transferees, Dr. Polonsky has further undertaken to use reasonable endeavours to
ensure that the transferees of those shares adopt the principles relating to
lock-ins and orderly marketing arrangements as if they were the original
signatories of the relevant agreements.
Pending completion of the above set of disposals and following consultation with
FTSE, the Directors of Hansard expect the Company to be considered as a UK
company by FTSE's Nationality Committee and therefore to be eligible for
inclusion to the FTSE UK Index Series, subject to normal eligibility rules, at
the next FTSE Index Review in December.
A further announcement will be made in due course to confirm the completion of
the further intended disposals by the Polonsky Foundation.
