Holidaybreak PLC 28 September 2006 28 September 2006 HOLIDAYBREAK PLC Acquisition of two German specialist tour operators Holidaybreak, the European specialist holiday group, today announces it has acquired two German specialist tour operators. This is in line with its established strategy of investing in European specialist holiday companies. The businesses were acquired from the same private owners, founders Thomas Meier and Janine Wegman: carpe diem Sprachreisen GmbH provides English and other language holidays; TravelWorks GmbH provides working holidays and gap-year breaks for students. The businesses, based in Muenster, had a combined turnover of €13.8m (£9.3m) in the 12 months ended 31 October 2005. The acquisitions are expected to be marginally earnings enhancing (pre-amortisation of intangibles)* for Holidaybreak in the financial year ended 30 September 2007. The initial consideration of €10m (£6.7m) was paid in cash upon completion. Additional consideration of up to €2m will be payable, dependent upon the performance of the business over the twelve months following completion. Thomas Meier and Janine Wegman will remain with the businesses, along with their able and experienced management team.
