SECTION 198 TO 202 OF THE COMPANIES ACT 1985 ('The Act')

On 19 February 2001, Holidaybreak plc received the following notification from
CGNU plc, PO Box 89, Surrey Street, Norwich NR1 3DR in fulfilment of the
obligations imposed by sections 198 to 202 of the Act.  The notification
relates to issued ordinary shares of 5p each in the capital of Holidaybreak
plc ('shares').

1.  Notification on behalf of Morley Fund Management Limited (a subsidiary of
CGNU plc)

Notification on behalf of Morley Fund Management Limited that immediately
after the time when the obligation to make the notification arose Morley Fund
Management Limited had a material interest in 5,044,027 shares.

The identity of the registered holders of the shares to which this
notification relates and the number of shares held by each of them are set out
in the schedule below.

2.  Aggregate holding of CGNU plc

Notification that the aggregate material holding of CGNU plc in the shares is
5,044,027 giving the CGNU group a total percentage material interest in the
shares of 11.00%.
