COMPANIES ACT 1985 - DISCLOSURE OF INTEREST IN SHARES

On 20 February 2001, in compliance with Part VI of the above Act, as amended,
Holidaybreak plc received notification from Aberforth Smaller Companies Trust
plc whose registered office is 14 Melville Street, Edinburgh, EH3 7NS, that
Aberforth Smaller Companies Trust plc has a notifiable interest in 1,833,000
ordinary shares of 5p each in Holidaybreak plc, which represents 3.99% of the
issued share capital of Holidaybreak plc.

The shares to which the notification relates are, or will be, registered as
